1. Purpose
These terms govern access to and use of the client portal made available by Carmagnole OÜ, registry code 17131338, Ahtri tn 12, Kesklinna linnaosa, 15551 Tallinn, Harju maakond, Estonia (the "Provider"), at the address published on www.carmagnole.eu.
The portal allows the clients of the Provider and the users they designate to consult and download the documents relating to their engagements, in particular training materials, reports, deliverables and administrative documents.
Use of the portal implies full acceptance of these terms. A user who does not accept them must not access the portal.
2. Access on a nominative basis
Access is granted on a nominative basis to natural persons designated by the client and accepted by the Provider (the "Users"). Each User receives an individual identifier and sets a personal password on first connection.
Access is personal, non transferable and granted for the sole purposes of the engagement concerned. It lasts for the duration of the engagement and for the period during which the documents are made available, as stated to the client.
The client informs the Provider without delay of any change in the list of Users, in particular where a User leaves the client's organisation or changes duties, so that the corresponding access may be modified or withdrawn.
3. Credentials
Users are responsible for the confidentiality of their identifier and password. They undertake to choose a password of sufficient strength, not to reuse it on other services, not to write it down in a form accessible to third parties and to change it at the first suspicion of compromise.
The sharing of accounts is prohibited. A User may not communicate their credentials to any other person, including a colleague of the same organisation, nor allow a third party to use their session, nor create an account on behalf of another person. Any connection made with a User's credentials is presumed to have been made by that User.
Any use of automated means to connect to the portal, to extract its content or to circumvent the authentication mechanisms is prohibited.
4. Permitted use of the documents
The documents made available on the portal are protected by intellectual property rights and are, where applicable, confidential.
Users are authorised to consult, download and print the documents for the sole internal needs of the client, within the limits of the licence granted in the contract governing the engagement, in particular the general terms and conditions of sale for training services.
Users are prohibited from communicating, publishing, distributing or transferring the documents to any third party, from using them for the benefit of a third party, from using them to design or deliver training given to third parties, from using them to train or evaluate an artificial intelligence model, and from altering or removing the mentions of authorship or confidentiality which they bear.
5. Intellectual property
The portal itself, its structure, its interfaces, its software components, its databases and its graphic elements are the property of the Provider or of its licensors. The provision of access confers no right of ownership. Any reproduction or reuse of the elements of the portal, other than the consultation permitted by these terms, requires the prior written authorisation of the Provider.
6. Obligations of Users
Users undertake to use the portal in accordance with these terms, with the applicable law and with any security instruction communicated by the Provider, to connect only from equipment which is kept up to date and reasonably protected, and to refrain from any act likely to harm the integrity, the availability or the security of the portal or of the data which it contains, in particular any attempt at intrusion, any introduction of malicious code and any excessive load.
7. Reporting of security incidents
Any User who becomes aware of the loss or theft of credentials, of a connection which they did not make, of unauthorised access to documents, of a suspicion of compromise of an account or of any other event affecting the security of the portal must inform the Provider without delay, and in any event within twenty four hours, at contact@carmagnole.eu, and where the matter is urgent by telephone at +372 5355 0223.
The User cooperates with the Provider in the investigation and applies the corrective measures indicated, in particular the immediate change of the password.
8. Suspension and termination of access
The Provider may suspend or withdraw access, in whole or in part, without notice and without compensation, in the event of a breach of these terms, of a suspicion of compromise of an account, of a security requirement, of non payment of an invoice which has remained without effect after formal notice, or on request of the client.
Access ends automatically at the end of the engagement or at the end of the period of availability of the documents. Users are advised to download in good time the documents they are authorised to keep. The Provider is not required to retain the documents on the portal beyond the periods stated in its Privacy Policy.
9. Availability
The Provider takes reasonable care to keep the portal available but gives no warranty of continuous or uninterrupted availability. Access may be suspended at any time for maintenance, updating, or for technical or security reasons, in principle after information of the Users where the interruption is planned.
The Provider is not liable for interruptions attributable to the internet network, to the equipment or connection of the User, to the hosting provider or to an event of force majeure. The liability of the Provider in connection with the portal is limited under the conditions set out in the contract governing the engagement.
The portal does not replace the official communication channels of the engagement. The documents are provided for information and for the use agreed with the client, and their consultation does not constitute advice given outside the framework of the engagement.
10. Personal data
The data processed in connection with the portal, in particular account data and connection logs, is processed by the Provider as controller under the conditions set out in its Privacy Policy, which sets out the purposes, the legal bases, the retention periods and the rights of data subjects. 11. Amendments
The Provider may amend these terms, in particular to take account of changes in the portal or in the applicable law. The version in force is that published on the portal. Users are informed of material changes at their next connection.
12. Applicable law and jurisdiction
These terms are governed by Estonian law. Any dispute which cannot be settled amicably is submitted to the exclusive jurisdiction of Harju Maakohus, the county court sitting in Tallinn, Estonia.
